Abstract
This article, the result of a discussion between Benoit Frydman and Christine Declercq, examines the profound transformation of the role of the in-house counsel in the contemporary context of regulatory inflation and the emergence of corporate social responsibilities. The authors demonstrate that the modern legal counsel must now reconcile several functions: guardian of legality, strategic advisor integrated into business decisions, facilitator, and whistleblower in the face of risks. They identify a growing gap between the fragmented legal framework, where legal norms coexist with hybrid sectoral standards and social responsibility requirements, and the need for an integrated legal response. The authors also raise critical future challenges, notably the growing competition from compliance services automated by artificial intelligence, and emphasize the need to radically rethink legal education to prepare lawyers for this multidisciplinary and strategic reality.

Cet article, fruit d'une discussion entre Benoit Frydman et Christine Declercq, examine la transformation profonde du rôle du juriste d'entreprise dans le contexte contemporain d'inflation réglementaire et d'émergence de responsabilités sociétales. Les auteurs démontrent que le juriste moderne doit désormais concilier plusieurs fonctions : gardien de la légalité, conseiller stratégique intégré aux décisions d'affaires, facilitateur et lanceur d'alerte face aux risques. Ils identifient un décalage croissant entre le cadre juridique fragmenté, où les normes légales coexistent avec des normes sectorielles hybrides et des exigences de responsabilité sociale, et la nécessité d'une réponse juridique intégrée. Les auteurs soulèvent également des enjeux futurs critiques, notamment la concurrence croissante des services de compliance automatisés par l'intelligence artificielle, et insistent sur la nécessité de repenser radicalement la formation juridique pour préparer les juristes à cette réalité pluridisciplinaire et stratégique.
